
Opening of Branches in Turkey by Companies Headquartered Abroad
Establishment of an Overseas Turkey Branch

1-) Petition (1 copy)
It must be signed by the authorized person (in case of joint authorization, the authorities), if signed by proxy, the original or notarized copy of the proxy must be attached, the tax office to which the branch will be affiliated must be specified and it must include the document breakdown submitted for the establishment application.
In the petition; The title, capital, center, opening date and the subject of the real activity of the branch on this date should be clearly shown together with the NACE code and it should be written that the responsibility belongs to the person or persons who signed the commitment letter in case it is determined that this information is correct.
2-) Chamber Registration Petition (1 copy)
3-) Chamber registration declaration (1 copy)
It must be signed by the authorized persons and must contain the pictures of the authorized persons.
4-) Decision of the authorized body of the head office to open a branch and to appoint a fully authorized representative resident in Turkey to the branch.** (1 copy)
5-) In the decision to open a branch, if it is not stated that the person or persons who will represent the branch in Turkey and the authorization granted to them are authorized to represent the branch in full / in all matters, the original of the power of attorney** issued regarding these issues. (1 copy)
6-) A letter from the competent authority showing that the conditions required by the law of the source country where the headquarters of the commercial enterprise is located for the registration of the enterprise to open a branch are fulfilled and the documents required to be submitted for the registration of the branch.** (1 copy)
7-) Documents required for the registration of the branch in the source country.**
8-) A certified copy of the document containing the current registry records of the head office and the company agreement for companies.**
9-) Title, type, field of operation, type and amount of capital, date of establishment, registration number, law it is subject to, whether it is a member of the European Union or not, website of the center that will open a branch; the title of the branch and the amount of capital allocated to the branch, the name, surname and identity number of the person or persons who will represent the branch with full authority, the name, surname and identity number of the person or persons who will represent the branch with full authority, the place of residence, the original of the declaration signed by the officials of the center containing the address of the branch (if it is issued in a foreign language, its translation is a notarized copy) (1 copy)
10-) For branches whose opening is subject to the permission or appropriate opinion of the Ministry or other official institutions, this permission or appropriate opinion letter.
11-) If the person or persons who will represent the branch are foreign nationals, copies of their passports with notarized translations.
12-) Signature declarations of the person or persons who will represent the branch issued in accordance with Article 40 of the TCC
(**)Documents issued in a foreign country subject to a foreign law must be certified (Apostille) by the Consulate of the Republic of Turkey or according to the provisions of the Convention on the Abolition of the Obligation to Certify Foreign Official Documents and submitted to the Directorate together with a notarized Turkish translation.
IMPORTANT INFORMATION:
The title of the first branches of foreign companies to be opened in Turkey;
“Center title + country where the center is located + SIVAS Center or district Branch” should be determined in the form.
Example: X Company GMBH Center Germany Sivas Center or district Branch
The word “Center” will not be included in the titles of other branches opened after the opening of the central branch.
