Joint Stock Company Branch Opening Procedures

1-) MERSIS Application

2-) Petition

Must be signed by the authorized person with the company stamp, if signed by proxy, the original or certified copy of the power of attorney must be attached, and must include the attached document statement. The petition must clearly indicate the company's title, capital, opening date and the subject of its actual activity on this date together with the NACE code, and it must be written that this information is correct and that if the contrary is determined, the responsibility belongs to the person or persons who signed the petition.

3-) Chamber registration declaration

- Must be signed by the branch official and must include the branch official's picture.

4-) Notarized Board of Directors Resolution regarding branch opening (1 copy) If additionally prepared, attendance list

-Invitation procedure in cases where all partners do not attend the meeting: The general assembly is called to the meeting by the directors at least fifteen days before the meeting date (excluding the announcement and meeting days). The company's articles of association may extend this period or shorten it to ten days. The general assembly is called to the meeting in the manner indicated in the articles of association, - if necessary, on the company's website - by an announcement published in the Turkish Trade Registry Gazette. The shareholders listed in the share ledger and the shareholders who have notified the company of their addresses by providing a share certificate or a document proving their share ownership in advance are notified of the meeting date, agenda and the newspapers in which the announcement was or will be published by registered mail.

-Accordingly, in cases where all partners do not attend the meeting, a copy of the Trade Registry Gazette regarding the invitation announcement and the documents regarding the registered notification must be attached to the registration application. In addition, if there is a special invitation procedure in the articles of association, documents regarding this procedure must also be attached.

5-) Signature Declaration of the branch representative, issued under the title of the branch, (To be issued at the Trade Registry Offices only for those with the Old ID)

6-) If the Registry Office where the center is located is outside of Sivas, the articles of association and amendments to the articles of association registered by the registry office of the center and the registry gazette of the last registration made at the center

- Current (not more than 1 year after the date of issue) apostilled Turkish translated registry summary showing that the person signing the decision on behalf of the legal partner (when an individual signs the decision on behalf of the legal partner, the title of the legal partner should be written under the decision, and the name and surname of the signer should be written under it as a representative/power of attorney) is authorized to sign the decision on behalf of the legal partner, participate in the decision, vote, accept or reject the decisions
