Transactions Relating to Persons Authorized to Represent Joint Stock Companies

1-) MERSIS Application

2-) Petition

Must be signed by the authorized person with the company stamp, if signed by proxy, the original or certified copy of the power of attorney must be attached, and must include the attached document statement.

3-) Board of Directors decision (1 copy approved by a notary public)

The name and surname of the authorized board member or manager must be stated in the decision, as well as their place of residence, citizenship and Turkish Republic identity number (tax number or foreign national identity number).

4-) At least one member of the board of directors must have the authority to represent the company.

5-) Signature declaration of authorized persons issued by the Trade Registry Directorate in accordance with Article 40 of the TCC

6-) A notarized copy of a passport must be provided for foreign national officials (1 copy)

7-) If the residence address of foreign managers is in Turkey, an approved residence permit

8-) If there is a foreign legal authorized person, the tax number must be stated in the board of directors' decision.

If the legal authorized signatory is Turkish but has a commercial residence outside of Sivas, the Trade Registry Directorate where the legal partner is registered and the Trade Registry number / tax identification number and the Mersis number must be stated in the decision.

Explanation on the Notification of the Natural Person Determined by the Legal Entity in Joint Stock Companies with Legal Entity Board Members

In joint stock companies with legal entity board members, in the distribution of duties and decisions on representation and binding, the duties and authority must be given to the legal entity board member. In addition, the name and surname, place of residence, citizenship, Turkish ID Number, tax number or foreign national identity number of the natural person representative of the legal entity board member must be stated in the decision. If the natural person representative of the foreign nationality has a residence address in Turkey, a residence permit must be attached.
